These Terms of Service govern your access to and use of the website vnolicense.com and the professional services provided by Infinity Consultants, a telecom regulatory consultancy registered and operating in New Delhi, India. By using our website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the website vnolicense.com and the services offered by Infinity Consultants ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, clients, and others who access or use our services.
2. Description of Services
Infinity Consultants provides consultancy and advisory services in the Indian telecom sector, including but not limited to:
- Virtual Network Operator (VNO) licensing advisory and application assistance.
- Internet Service Provider (ISP) licensing support and documentation.
- Regulatory compliance advisory under DoT, TRAI, and related bodies.
- OEM partnership facilitation with telecom hardware vendors.
- OSS/BSS software consultation and procurement support.
- Spectrum coordination and interconnection agreement advisory.
- Ongoing compliance monitoring and regulatory filing support.
We are a consultancy firm. We do not issue licenses — all licenses are issued by the Department of Telecommunications (DoT), Government of India. Our role is to facilitate, advise, and assist in the application and compliance process.
3. Eligibility
Our services are intended for business entities, companies, partnerships, and professionals operating in or seeking to enter the Indian telecom sector. By engaging our services, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are authorised to represent your organisation where applicable.
4. Engagement and Service Agreement
4.1 Formal Engagement
All professional engagements are formalised through a separate service agreement or engagement letter, which sets out the specific scope of work, timelines, fees, and deliverables. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall prevail.
4.2 Scope of Work
We will provide services only as described in the agreed scope of work. Any additional services requested beyond the agreed scope will require a separate agreement and may attract additional fees.
4.3 Client Obligations
You agree to provide accurate, complete, and timely information and documentation required for us to perform our services. We are not liable for delays, rejections, or adverse outcomes resulting from incomplete, inaccurate, or untimely information provided by you.
5. Fees and Payment
Fees for our services are agreed upon in advance and outlined in the relevant service agreement. Unless otherwise stated:
- All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST).
- Payment schedules and milestones are as defined in the service agreement.
- We reserve the right to pause work if invoices remain unpaid beyond the agreed payment terms.
- Government fees, statutory charges, and third-party costs (such as DoT processing fees) are payable separately by the client and are not included in our consultancy fees.
- Fees paid are non-refundable except where expressly agreed in writing.
6. No Guarantee of Outcome
While we have an extensive track record of successful licensing outcomes, we do not guarantee the approval of any license application. Licensing decisions are made solely by government authorities, including the Department of Telecommunications. Our services are advisory in nature, and the final decision on any application rests with the relevant regulatory body.
We will apply our best professional judgment and expertise to maximise the chances of a successful outcome. However, we accept no liability for rejection of applications by regulatory authorities, provided we have performed our services with reasonable skill and care.
7. Intellectual Property
All content on this website — including text, graphics, logos, icons, images, and software — is the property of Infinity Consultants or its content suppliers and is protected under applicable Indian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.
Documents, templates, and materials prepared by us during an engagement are provided for your use in connection with the agreed services. Unless otherwise agreed in writing, we retain all intellectual property rights in such materials.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. We will not disclose your business information, financial details, or application contents to any third party except as required to perform the services (e.g., filing with DoT) or as required by law.
This confidentiality obligation survives the termination of any service agreement and these Terms.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Infinity Consultants shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising from your use of our services or website.
Our total aggregate liability to you in connection with any claim arising from our services shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Infinity Consultants and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with your breach of these Terms, your use of our services, or any misrepresentation made by you.
11. Termination
Either party may terminate a service engagement by providing written notice as specified in the service agreement. We reserve the right to suspend or terminate our services immediately in cases of non-payment, breach of these Terms, or where continued engagement would violate applicable law or professional ethics.
Upon termination, all outstanding fees become immediately due and payable. Confidentiality obligations and any provisions that by nature should survive termination will continue to apply.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or our services shall first be attempted to be resolved amicably through good-faith negotiation. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
13. Amendments
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised effective date. Your continued use of our website or services after such changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
